Terms of Service

Important — not investment advice. Gatekeeper is a software tool that helps you document and follow your own trading plan. It does not provide investment, financial, legal, tax, or accounting advice, and it is not a broker, dealer, investment adviser, or fiduciary. Trading carries substantial risk of loss. You are solely responsible for every trading decision you make.

1. The agreement

These Terms of Service (the "Terms") form a binding agreement between you ("you", "your") and Resqua, Inc., a Delaware corporation ("Gatekeeper", "we", "us"), governing your access to and use of the Gatekeeper website, application, APIs, the VPS Bridge worker, and any related services (collectively, the "Service").

By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & account

  • You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction.
  • You must not be barred from using financial software under applicable law or any sanctions program.
  • You agree to provide accurate registration information and to keep it current.
  • You are responsible for all activity under your account, including any API keys, broker credentials, or bridge tokens you store with us or on your VPS.
  • You will keep your login credentials confidential and notify us promptly of any unauthorised access.

3. What Gatekeeper is (and isn't)

Gatekeeper is a personal trading workspace. It helps you write a trading plan, journal your trades, score chart setups against your own rules using AI, run scanners, and — where you enable it — relay execution instructions to your broker terminal through a worker process you install on your own infrastructure (the "VPS Bridge").

Gatekeeper does not:

  • Hold customer funds or securities.
  • Operate a brokerage, exchange, alternative trading system, or money services business.
  • Recommend specific securities, instruments, or trading strategies.
  • Guarantee any trading outcome, win rate, or return.

Any autonomous-execution features that may be offered in the future are subject to additional terms, eligibility checks, and applicable regulatory requirements, and are not generally available under these Terms.

4. No investment advice; trading risk

Information generated by the Service — including AI-generated scores, pattern labels, commentary, scanner hits, plan critiques, and journal coaching — is informational and educational only. It is not, and must not be relied upon as, investment, financial, legal, tax, or accounting advice, nor as a recommendation to buy, sell, or hold any instrument.

Trading in foreign exchange, contracts for difference, futures, options, equities, and other financial instruments involves substantial risk of loss and is not suitable for every investor. Past performance, simulation results, and backtests are not indicative of future results. You may lose some or all of the capital you commit. You should consult a qualified professional before making any trading or investment decision.

You acknowledge that AI output can be inaccurate, incomplete, or biased, and that you will independently verify any information before acting on it.

5. Subscriptions, billing & refunds

Plans

The Service is offered through a free tier and paid subscription tiers (currently Basic, Plus, and Pro). Features, usage allowances, and prices for each tier are described on our pricing page and may change as described in section 17.

Billing

  • Paid subscriptions are billed in advance on a monthly or annual cycle through our payment processor, Stripe, Inc.
  • Subscriptions renew automatically at the end of each billing cycle until cancelled.
  • You may cancel at any time from your billing settings. Cancellation takes effect at the end of the then-current billing cycle; you retain paid features until that point.
  • Taxes are your responsibility except where we are legally required to collect them.
  • Failed payments may result in downgrade to the free tier or suspension of paid features after a reasonable grace period.

Refunds

Except where required by law, subscription fees are non-refundable. We may, at our discretion, issue a prorated refund for the unused portion of an annual plan if you cancel within the first 14 days and have not made material use of paid features.

AI usage allowances

Paid tiers include a monthly allowance of AI tokens consumed by our managed AI providers. Allowances reset at the start of each billing cycle and do not roll over. If you exhaust your allowance, AI-powered features will return a structured error until the next cycle or until you upgrade. We do not meter or invoice you per token.

6. Bring-your-own-key (BYOK) AI usage

Some tiers allow you to provide your own API key from a supported AI provider (such as Anthropic or OpenAI). When you provide a BYOK key:

  • The key is encrypted at rest in our database.
  • Gatekeeper relays your prompts to the provider on your behalf using your key; you are responsible for the provider's fees, terms, and policies.
  • You authorise us to use your key solely to fulfil your in-app requests.
  • You may remove the key at any time from settings, after which we will purge the stored ciphertext in the next cycle.
  • BYOK provides a discount on paid tiers as described on the pricing page; the free tier requires BYOK to access AI features.

7. Broker connections & the VPS Bridge

The VPS Bridge is software you install on infrastructure you own or control (typically a Windows VPS) to connect Gatekeeper to your broker terminal. You are solely responsible for:

  • Your VPS, broker account, broker credentials, and the security of both.
  • Reviewing every order and ensuring it complies with your broker's rules and applicable law.
  • Monitoring open positions; Gatekeeper is not a substitute for active risk management.
  • Any losses, margin calls, or broker actions resulting from orders relayed through the Bridge, including any caused by software bugs, connectivity issues, market gaps, or third-party failures.

The Bridge executes commands that originate from your account in Gatekeeper. We strongly recommend running it only with broker accounts whose risk you can fully absorb.

8. Acceptable use

You agree not to:

  • Use the Service to violate any law, regulation, or third-party right.
  • Resell, sublicense, or commercially redistribute the Service or its AI outputs (including per-token resale, which is prohibited by our AI providers).
  • Reverse engineer, scrape, or attempt to extract source code or model weights, except to the extent permitted by law.
  • Probe, scan, or test the vulnerability of the Service except through a coordinated disclosure agreed with us in writing.
  • Use the Service to build a competing product, train a competing AI model, or benchmark in a manner that violates the underlying providers' terms.
  • Upload content that is unlawful, infringing, malicious, or that you do not have the right to share.
  • Interfere with the integrity of the Service, including by overloading it, circumventing rate limits, or sharing accounts.

9. Intellectual property & your content

Our IP

Gatekeeper and all related software, designs, trademarks, and documentation are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

Your content

You retain ownership of the trading plans, journals, screenshots, notes, and other content you submit to the Service ("Your Content"). You grant us a worldwide, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate and improve the Service for you and to comply with law.

We do not use Your Content to train third-party AI models. We may use aggregated, de-identified usage statistics to improve the Service.

10. Third-party services

The Service relies on third parties including Stripe (billing), Firebase (authentication), Anthropic and OpenAI (AI), Google Cloud (hosting), and brokers and market-data providers you choose to connect. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party outages, errors, or actions, and do not control content or pricing they provide.

11. Beta features & availability

Features may be labelled beta, preview, or experimental. Such features are provided "as is", may change or be removed at any time, and are not subject to any service-level commitment. We do not guarantee that the Service will be uninterrupted, error-free, or secure, and we may perform maintenance from time to time.

12. Suspension & termination

You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, present a security or legal risk, or for prolonged inactivity, with reasonable notice where practicable. On termination, your right to use the Service ends immediately. We may retain backups and records as described in the Privacy Policy and as required by law.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR APPROPRIATE FOR ANY PARTICULAR DECISION.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, TRADING PROFITS, OR TRADING LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THAT PERIOD AND (B) USD $100.

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the smallest extent permitted by law.

15. Indemnification

You will indemnify and hold harmless Gatekeeper and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your trading activity or any orders relayed through the Service, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

16. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration is the state or federal courts located in Delaware, and you and we consent to personal jurisdiction there.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered under the commercial arbitration rules of a recognised arbitration body, except that either party may seek injunctive or equitable relief in court for intellectual property or confidentiality matters. You and we waive any right to participate in a class action or class-wide arbitration.

17. Changes to these terms

We may update these Terms from time to time. If a change is material, we will give you reasonable advance notice (for example, by email or in-app notice). Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
